IMPORTANT NOTE: THIS SOFTWARE IS IN EARLY ACCESS. InnovationFlow.app is currently provided as an Early Access version. These terms of use apply to the Early Access phase only and will be replaced by new terms of use and a paid pricing model upon official launch.
1. Scope, Contract Formation and Acceptance of Terms
1.1 Scope
These General Terms and Conditions ("Terms") apply to all services provided through the InnovationFlow.app service and to the entire business relationship between the user and the provider.
1.2 Contract Formation
These Terms constitute a legally binding contract between you ("User") and CDC Holding UG (haftungsbeschränkt) ("Provider"), registered at Gottfried-von-Cramm-Weg 45, 14193 Berlin, Germany.
1.3 Service Description
InnovationFlow.app is a web-based platform for collaborative strategic innovation workflows. Features include: visual process builder with connected tool nodes, PESTLE analysis, trend radar, SWOT analysis and TOWS strategy matrix, idea cloud with AI-powered clustering, ecosystem and stakeholder mapping, roadmap planning with impact assessment, data flow between tools, AI-powered suggestions, workspace collaboration with role-based access, and workspace export/import.
1.4 Business vs. Consumer Users
These Terms apply to both business users (§ 14 BGB) and consumer users (§ 13 BGB). Where provisions differ, this is explicitly stated.
1.5 Minimum age
You must be at least 18 years old to use this service.
1.6 Applicable law
These Terms are governed by German law.
2. Early Access status and restrictions
You expressly acknowledge that: the service is in Early Access, may contain errors, may be changed or discontinued at any time, and participation does not entitle you to continued access after the Early Access phase.
Use of InnovationFlow.app is free during the Early Access phase. After the Early Access phase, paid subscription models will be introduced.
3. Registration and account security
Registration takes place via email/password or third-party authentication. You agree to provide accurate information, keep credentials secure, and be responsible for all account activity. You can request account deletion at any time via settings or hello@innovationflow.app.
4. Scope of use and restrictions
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. You agree NOT to use the Service for automated access, reverse engineering, credential sharing, malware, harassment, impersonation, security breaches, or illegal activities.
5. User data and content
You retain all ownership rights to your user data. By uploading data, you grant us a limited license for display, storage, backup, anonymized analysis, service operation, and development.
We provide workspace export functionality (JSON format). You are responsible for the accuracy, legality, and backup of your data.
6. AI-powered features
Important: AI-generated content is provided for informational purposes only. You are responsible for verifying all AI-generated information. AI outputs do not constitute professional advice and may contain errors or exhibit biases. All AI outputs are suggestions that require human review.
7. Intellectual property
The Service and all content, functions and functionalities are the property of CDC Holding UG (haftungsbeschränkt) or its licensors. "InnovationFlow.app" and associated logos are trademarks of CDC Holding UG.
8. Privacy and analytics
Your personal data will be processed in accordance with our privacy policy, which forms part of these terms.
9. Availability and support
As an Early Access service, we give no guarantee for uninterrupted availability, error-free operation, or certain performance levels. Limited support is available via hello@innovationflow.app.
10. Warranty and defects
Business users (B2B): Warranty period is 12 months. Defects must be reported within 7 days.
Consumers (B2C): Statutory warranty rights under §§ 327, 434 ff. BGB apply in full (2 years).
As an Early Access service, the software is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, to the maximum extent permitted by law.
11. Liability
We are liable without limitation for wilful intent, gross negligence, personal injury, product liability, and expressly assumed guarantees.
Business users: Liability for simple negligence is limited to foreseeable damages typical for this type of contract. During the Early Access phase: max EUR 500 per claim, EUR 2,000 per calendar year.
Consumers: Statutory liability rules apply in full without contractual limitations.
12. Indemnification
You agree to indemnify CDC Holding UG from claims arising from your use of the Service, violation of these Terms, or violation of applicable laws. This does not apply to claims arising from our gross negligence or willful misconduct.
13. Term and termination
You may terminate at any time. We may terminate with 30 days' notice or immediately for cause. If the Early Access phase ends or the Service is discontinued, we will provide at least 90 days' advance notice before deleting any user data.
14. Amendments to the terms
We may amend these Terms with 30 days' notice. You may object within 14 days. These Early Access Terms will be replaced upon official launch.
14a. Withdrawal rights for consumers

15. Final provisions
These Terms are governed by German law (excluding CISG). Place of jurisdiction for merchants is Berlin. Consumer rights remain unaffected. The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

17. Recognition and acceptance
By registering, signing up or using InnovationFlow.app you acknowledge that you have read and understand these terms, agree to be bound by them, understand the Early Access status and AI limitations, are at least 18 years old, and accept the limitations of liability to the extent permitted by law.
